Terms of Service

Welcome to Upsted. These Terms of Service (“Terms”) outline the agreement between you (“User,” “you”) and Upsted (“Company,” “we,” “our,” or “us”) regarding your use of our services, including Upsted Spark, our website, mobile applications, and all other related services (collectively, the “Services”).

By accessing or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

1. Who May Use Our Services

You must be at least 18 years old and legally capable of entering into contracts to use our Services. By using Upsted, you represent and warrant that you meet these eligibility requirements.

If you are creating a payment-receiving account on Upsted, you must also comply with Stripe’s eligibility criteria under their Connected Account Agreement.

2. Account Registration

To access certain features, you may need to register for an account. You agree to:

  • Provide accurate, complete, and current information
  • Maintain the confidentiality of your login credentials
  • Notify us promptly of any unauthorized use of your account

You are solely responsible for any activity conducted through your account.

3. Use of Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable law or regulation
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt unauthorized access to any systems or data
  • Use the Services to harm, exploit, harass, or defraud others

We reserve the right to suspend or terminate your access if you breach these Terms or misuse the Services.

4. Third-Party Integrations

Our Services integrate with the following third-party providers:

Plaid

We use Plaid Inc. (“Plaid”) to securely access and retrieve financial account information with your explicit consent. By using this feature, you grant Upsted and Plaid the right to access and transmit your personal and financial information from relevant financial institutions. We do not store your login credentials. Access tokens and financial data are stored and handled per Plaid’s developer recommendations and used solely as needed to provide our services.

Your use of Plaid is governed by the Plaid End User Privacy Policy, which is incorporated by reference into these Terms.

Stripe

We use Stripe to provide identity verification, payment processing, and financial connectivity. The Stripe services we rely on include:

  • Stripe Connect (for user-to-user payments and payouts)
  • Stripe Identity (for secure identity verification)
  • Stripe Billing (for subscriptions and invoicing)

We do not store or process your payment information directly. By using the Services to receive payments or payouts, you agree to the Stripe Connected Account Agreement, which is incorporated by reference into these Terms. Your use of any Stripe service is also subject to the Stripe Services Agreement and the Stripe Privacy Policy, which govern the handling of personal and financial data on Stripe’s systems.

5. Privacy and Data Handling

We respect your privacy. Our Privacy Policy explains how we collect, use, and protect your data. By using the Services, you consent to our data practices as described therein.

6. Intellectual Property

All content, software, and materials provided by Upsted are the property of Upsted or its licensors and are protected under intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

7. Termination and Suspension

We may suspend or terminate your access to the Services at any time if you violate these Terms or engage in behavior that disrupts or harms the platform, other users, or third parties. You may stop using the Services at any time. Upon termination, any rights or obligations that by their nature should survive termination will remain in effect (e.g., privacy, intellectual property, and limitation of liability clauses). Upon termination, you are responsible for any outstanding obligations or fees incurred prior to termination.

8. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted or error-free. Upsted does not provide financial, legal, or tax advice. Use of our platform is at your own risk.

9. Beta Features

Some features may be labeled as “beta,” “experimental,” or “preview.” These beta features are provided for testing and evaluation purposes only, and may contain bugs, errors, or other issues. We do not guarantee their reliability or availability. Your use of beta features is at your own risk, and we may modify or remove them at any time without notice.

10. Limitation of Liability

To the fullest extent permitted by law, Upsted shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of data, income, profits, or goodwill
  • Any third-party conduct or integrations

Our total liability for any claim arising out of or related to these Terms or the Services shall not exceed the amount you paid to us in the past 12 months, if any.

11. Arbitration Agreement

You and Upsted agree to resolve any disputes arising out of or relating to these Terms or the Services through final and binding arbitration, except as set forth under “Exceptions to Arbitration” below.

  1. Arbitration Procedure: The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in a location mutually agreed upon or virtually, if agreed by both parties.
  2. Exceptions to Arbitration: You or Upsted may bring a claim in small claims court or seek injunctive or other equitable relief for intellectual property infringement or misuse.
  3. Waiver of Class Actions: All claims must be brought in the parties’ individual capacities, and not as a plaintiff or class member in any class or representative proceeding. You agree that you and Upsted are each waiving the right to a trial by jury or to participate in a class action.
  4. Opt-Out: You may opt out of this arbitration clause by sending written notice to legal@upsted.com within 30 days of accepting these Terms.
12. Dispute Resolution

We encourage you to contact us first to resolve any disputes informally. If a resolution cannot be reached, any disputes will be governed as described in the Governing Law section.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

14. Modifications to Terms

We may revise these Terms from time to time. If we make significant changes, we will notify you via email, through the Services, or by updating the effective date at the top of this page. Continued use of the Services after such changes means you accept the revised Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Upsted regarding the Services and supersede any prior agreements or understandings, whether written or oral.
